Terms of Service

These Terms of Service ("Terms") govern your access to and use of JKSLedgr, a cloud-based accounting platform operated by JKS IT Solutions ("we", "us", "our"). By creating an account or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using JKSLedgr, you accept and agree to be bound by these Terms, our Data Privacy Policy, and our Disclaimer. If you do not agree to these Terms, you must not use our services. If you are using JKSLedgr on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. BIR CAS Compliance

JKSLedgr is designed to function as a Computerized Accounting System (CAS) in accordance with BIR Revenue Memorandum Circular (RMC) No. 15-2018. Users who intend to use JKSLedgr as their CAS acknowledge and agree to the following:

• You are responsible for obtaining a Permit to Use CAS from your Revenue District Office (RDO) prior to using JKSLedgr for official bookkeeping purposes
• You must configure the system to meet the specific requirements of your RDO, including but not limited to chart of accounts structure and report formats
• All financial records stored in JKSLedgr are subject to a minimum 10-year retention period as required by the National Internal Revenue Code
• JKSLedgr implements a cryptographic hash chain for tamper-evidence of financial records; you must not attempt to circumvent or disable this data integrity mechanism
• You are responsible for maintaining all supplementary records and supporting documents required by the BIR alongside the computerized records

JKS IT Solutions provides the platform as a tool; compliance with BIR CAS requirements remains your responsibility.

3. Account Registration

To use JKSLedgr, you must:

• Provide accurate and complete registration information
• Be at least 18 years of age
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use JKSLedgr for your personal or commercial accounting purposes, subject to these Terms. Under this license, you may not:

• Copy, modify, or create derivative works of the platform
• Reverse engineer, decompile, or disassemble any part of the software
• Remove any copyright, trademark, or proprietary notices
• Use the platform for any unlawful purpose or to violate any laws
• Attempt to gain unauthorized access to other users' data or our systems
• Use automated tools (bots, scrapers) to access the platform without our written consent

5. User Responsibilities

As a user of JKSLedgr, you are responsible for:

• Data Entry Accuracy — Ensuring that all financial data, including journal entries, invoices, payroll information, and tax details, is entered accurately and completely
• Report Verification — Reviewing and verifying all generated reports (including BIR forms, financial statements, and payroll summaries) before submission to government agencies or other parties
• Professional Consultation — Seeking advice from qualified Certified Public Accountants (CPAs), tax professionals, or legal advisors for matters requiring professional judgment
• Account Security — Maintaining the confidentiality of your login credentials, using strong passwords, and immediately reporting any unauthorized access or suspicious activity
• Regulatory Compliance — Ensuring that your use of the platform complies with all applicable Philippine laws and regulations, including but not limited to the National Internal Revenue Code, Data Privacy Act of 2012, and labor laws
• Employee Consent — Obtaining appropriate consent from your employees before entering their personal and sensitive personal information (including SSS, PhilHealth, Pag-IBIG numbers, TIN, and compensation details) into the platform

6. Subscription and Billing

6.1 Free Trial

New accounts receive a 30-day free trial with full access to platform features. No credit card is required to start your trial. At the end of the trial period:

• You must subscribe to a paid plan to continue using the platform
• A 7-day grace period after trial expiration allows you to export your data
• During the grace period, your account will be in read-only mode
• If no subscription is activated within 30 days after the grace period, your data will be scheduled for permanent deletion
• We will send email reminders before your trial expires and during the grace period

6.2 Paid Plans

Subscription plans are billed either monthly or annually, as selected at the time of purchase. All prices are in Philippine Pesos (PHP) and are inclusive of applicable taxes unless otherwise stated.

6.3 Plan Changes

You may upgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle. When upgrading mid-cycle, billing is prorated for the remainder of the period.

6.4 Refund Policy

Annual subscriptions are eligible for a full refund within 14 days of purchase if you are not satisfied with the service. Monthly subscriptions are non-refundable. To request a refund, contact us at support@jksitsolutions.com.

7. Data Ownership

You own your data. All financial records, documents, reports, and other content that you create or upload to JKSLedgr remain your property. We do not claim ownership of your data.

By using JKSLedgr, you grant us a limited, non-exclusive license to access, process, and store your data solely for the purpose of providing and improving the service. This license does not permit us to:

• Use your data for marketing or advertising purposes
• Share your data with third parties for their own commercial use
• Use your data to train machine learning models or AI systems
• Access your data beyond what is necessary to deliver the service

You may export your data at any time through the platform's built-in export features. Upon account termination, you will have a 30-day grace period to export your records before data is permanently deleted.

8. Service Availability

We strive to maintain 99.9% uptime for JKSLedgr. However, we do not guarantee uninterrupted access. The platform may be temporarily unavailable due to:

• Scheduled maintenance (we will provide at least 48 hours advance notice via email and in-app notification, scheduled during off-peak hours when possible)
• Emergency security updates or critical bug fixes
• Circumstances beyond our reasonable control, including but not limited to natural disasters, internet service disruptions, power outages, government actions, or cyberattacks (force majeure)

We are not liable for any losses resulting from service interruptions, including missed filing deadlines or inability to access reports. We strongly recommend downloading copies of critical BIR reports and financial statements in advance of regulatory deadlines. We will make commercially reasonable efforts to restore access promptly and communicate estimated restoration times.

9. Acceptable Use

You agree not to use JKSLedgr to:

• Store or transmit content that is illegal, fraudulent, or deceptive
• Facilitate money laundering, tax evasion, or other financial crimes
• Upload viruses, malware, or any harmful code
• Interfere with or disrupt the platform or its infrastructure
• Impersonate another person or entity
• Share your account credentials with unauthorized users

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• After expiration, your account enters a 30-day read-only grace period
• During the grace period, you can view and export your data but cannot create new records
• After 30 days, your data is scheduled for permanent deletion

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Fail to pay subscription fees after reasonable notice
• Use the platform for illegal purposes
• Engage in activities that harm other users or our infrastructure

In cases of termination for cause, we will provide written notice and, where possible, a reasonable opportunity to remedy the violation before termination.

During any period of account suspension, we will provide emergency read-only access for a minimum of 15 days to allow you to export critical financial records, provided that the reason for suspension does not involve a security threat or ongoing illegal activity.

11. Intellectual Property

JKSLedgr, including its design, code, features, documentation, and branding, is the intellectual property of JKS IT Solutions. All rights not expressly granted in these Terms are reserved. The JKSLedgr name, logo, and related trademarks are the property of JKS IT Solutions and may not be used without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by Philippine law:

• JKSLedgr is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement
• JKS IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service
• Our total liability for any claim arising out of these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim

The limitations above shall not apply to:

• Liability arising from our gross negligence or willful misconduct
• Breaches of our confidentiality obligations regarding your data
• Obligations that cannot be limited under applicable Philippine law

13. Indemnification

You agree to indemnify, defend, and hold harmless JKS IT Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of JKSLedgr
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content or data you submit through the platform

14. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or your use of JKSLedgr, the parties agree to the following resolution process:

14.1 Negotiation

The parties shall first attempt to resolve the dispute through good-faith negotiation. The aggrieved party shall send written notice to the other party describing the dispute and proposed resolution. The parties shall have 30 days from receipt of notice to reach a mutually acceptable resolution.

14.2 Mediation

If the dispute cannot be resolved through negotiation, the parties agree to submit the matter to mediation before a mutually agreed-upon mediator in Davao City, Davao del Sur. The costs of mediation shall be shared equally between the parties.

14.3 Litigation

If mediation fails to resolve the dispute within 60 days of its commencement, either party may pursue legal action in the appropriate courts of Davao City, Davao del Sur, Philippines.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Davao City, Davao del Sur, Philippines.

16. Amendments

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Notify you via email at least 15 days before the changes take effect
• Display a prominent notice on the platform
• Update the "Last Updated" date at the top of this page

Your continued use of JKSLedgr after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the platform and cancel your subscription.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
